Code of business principles

Standards of conduct:

We are committed to legal and ethical work practices in every aspect of our business operations. Honesty, integrity, courtesy and openness are expected from every Arriva employee and are fundamental to the company's success. Arriva's culture is to ensure adherence not only to the letter but also the spirit of the law. Arriva does not give or receive, whether directly or indirectly, improper advantages for business or financial gain. No employee may offer, give or receive any gift or payment that may be seen as an improper inducement to grant some concession in return to the donor. Arriva does not provide funds for political parties or religious organisations to promote their individual interests.

Corporate governance:

We are committed to ensuring that our approach to Corporate Governance is in line with or ahead of best practice. The Arriva Corporate Governance Manual covers a range of subjects including the role definitions for the Chairman and Chief Executive; the activities of the Audit, Nomination, Remuneration, Health, Safety and Environment, and Diversity Committees; Independent Professional Advice and 'Whistle-Blower' Policy and Procedure.

Health and safety:

We are committed to the safety of our employees and customers and support this commitment by ensuring that health and safety are core elements of management responsibility. Our health and safety policy seeks to reflect industry best practice and has legal compliance as a minimum acceptable standard.

The environment:

We are committed to making continuous improvements in the management of our environmental impact and to promoting the sustainable development of public transport. The increased use of public transport and a shift away from cars will help to reduce greenhouse gas emissions.

Human rights:

We do not operate in underdeveloped countries or those that have a high risk of violating human rights. We work with trade unions and other employee organisations to ensure fair remuneration and a safe working environment. We require our subsidiary companies to comply with the relevant legislation of the jurisdiction or country in which they operate.

Our brand represents a commitment to delivering a better service for our customers. We deliver improvements through the anticipation of change and the adoption of new techniques.

Employees:

We recruit and employ people on the basis of the qualifications and abilities needed for the work to be performed. Arriva is committed to creating a working environment that provides opportunities for all current and future employees without anyone being disadvantaged. Arriva has in place an extensive range of employee training and development initiatives. We understand and appreciate the differences in people, such as age, education, values, personalities, experiences, gender, race and culture.

Investors:

We operate in line with the principles of good corporate governance and we seek to create long-term value for our shareholders.

Suppliers:

We are committed to working in partnership with our suppliers. In our business dealings, we expect our suppliers to adhere to business principles consistent with our own.
